Terms & Conditions

These Terms & Conditions ("Terms") are a legally binding agreement between you ("you," "your," or the "Client") and Ai2Go ("Ai2Go," "we," "us," or "our"). They govern your access to and use of https://ai2go.vip (the "Site"), our AI consulting and software services (the "Services"), and our SMS messaging program described in Section 6.

By accessing or using the Site or Services, or by opting in to receive SMS messages from us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or Services.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Site or Services. If you are accepting these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

2. The Services

Ai2Go provides AI consulting, computer vision, data analytics, and business-process automation Services to mid-market businesses. The specific scope, deliverables, fees, and timeline for each engagement are set out in a separate written proposal, Statement of Work ("SOW"), or order form signed by both parties (each, an "Order"). In the event of a conflict between these Terms and a signed Order, the Order controls for that engagement.

3. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site or any related system, account, or network;
• Interfere with or disrupt the Site, our servers, or the networks connected to the Site;
• Use any automated tool (such as a bot, scraper, or crawler) to access or copy content, except for public search-engine indexing in accordance with our robots.txt;
• Reverse-engineer, decompile, or attempt to extract the source code of any part of the Services, except to the limited extent permitted by law;
• Submit content that is unlawful, infringing, defamatory, fraudulent, or harmful.

4. Intellectual Property

Site content. All content on the Site — including text, graphics, logos, images, software, and the look and feel — is owned by Ai2Go or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive no license to that content except as expressly granted in these Terms.

Deliverables. Ownership of deliverables produced under an engagement is governed by the applicable SOW. By default, Ai2Go retains ownership of pre-existing tools, code libraries, models, and know-how; the Client receives a license to use the engagement-specific deliverables in its business. Client data remains the property of the Client.

Feedback. If you provide suggestions or feedback about the Services, you grant us a perpetual, royalty-free license to use that feedback without restriction.

5. Client Data and Confidentiality

You retain ownership of all data and materials you provide to us ("Client Data"). You grant Ai2Go a non-exclusive license to access, process, and use Client Data solely to provide the Services. Each party will protect the other's confidential information using at least the same care it uses to protect its own confidential information, and will not disclose it to third parties except as required to perform the Services or as required by law.

6. SMS / Text Messaging Terms (10DLC)

This Section sets out the specific terms that apply to our A2P 10DLC SMS messaging program in the United States. By providing your mobile phone number and opting in, you agree to receive recurring SMS messages from Ai2Go.

• Program description: Ai2Go uses SMS to send appointment confirmations, project and service updates, customer-care responses, account notifications, and occasional marketing messages related to our AI consulting and software Services.
• Consent: You must expressly opt in (for example, by submitting a Site form, requesting an AI audit and providing your number, or replying to an opt-in confirmation) before we send messages. Consent is not a condition of purchasing any product or service.
• Message frequency: Recurring messages. Frequency varies with your activity and the use case to which you opted in.
• Message and data rates: Standard message and data rates from your wireless carrier may apply. Ai2Go does not charge a fee for SMS.
• Opt-out: Reply STOP to any message at any time to opt out. You will receive a single confirmation message, after which we will stop sending you marketing SMS. You may continue to receive transactional SMS strictly related to an active engagement unless you also opt out of those by contacting us.
• Help: Reply HELP to any message for support, or contact [email protected] / +1 315 642 9919.
• Carrier disclaimer: Wireless carriers (including AT&T, T-Mobile, Verizon, and others) are not liable for delayed or undelivered messages. Delivery is not guaranteed.
• Eligibility: The SMS program is open to U.S. mobile subscribers age 18 or older. You represent that you are the account holder of the mobile number you provide, or that you have authority to opt that number in.
• No third-party sharing: Mobile phone numbers and SMS opt-in data are not sold, rented, or shared with any third party for marketing or promotional purposes, except with service providers that help us deliver the messages, under contractual confidentiality.
• Changes: We may modify or terminate the SMS program at any time. Material changes will be posted on this page.

7. Fees, Invoices, and Payment

Fees for the Services are described in the applicable Order. Unless the Order says otherwise, invoices are due within thirty (30) days of the invoice date. Late amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for all taxes other than taxes on Ai2Go's net income.

8. Term and Termination

These Terms apply for as long as you use the Site or Services. Either party may terminate an Order in accordance with its terms or for the other party's uncured material breach. Provisions that by their nature should survive (including intellectual property, confidentiality, indemnity, disclaimers, limitations of liability, and dispute resolution) survive termination.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. AI2GO DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI models and outputs are probabilistic and may contain errors. You are responsible for reviewing AI-generated outputs before relying on them for any business-critical decision.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI2GO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AI2GO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AI2GO UNDER THE APPLICABLE ORDER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Ai2Go and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Site or Services in violation of these Terms or applicable law, (b) Client Data you provide to us, or (c) your violation of any third-party right.

12. Third-Party Services

The Site and Services may integrate with or link to third-party services (for example, hosting, analytics, payment processing, SMS delivery, and chat). Your use of those third-party services is governed by their own terms. Ai2Go is not responsible for third-party services.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and post the revised Terms on this page. Material changes will be highlighted where appropriate. Your continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire agreement: These Terms (together with any signed Order and the Privacy Policy) constitute the entire agreement between you and Ai2Go regarding the Site and Services.
• Severability: If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Failure to enforce any right is not a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: Neither party is liable for delays caused by events beyond its reasonable control.
